About the Program
The Directors Education Program (DEP), jointly developed by the Institute of Corporate Directors (ICD) and the University of Toronto’s Rotman School of Management, is offered nationally at Canada’s top business schools.
Directors are continually challenged by information gaps, time squeezes and the behavioural dynamics that can be encountered in the boardroom. The ICD-Rotman DEP has been specifically designed to help experienced directors overcome these challenges by introducing activities and processes that assist them in fulfilling their role.
Complemented by some of Canada’s most accomplished and highly respected faculty, this 12-day course is taught by leading governance experts delivered in four three-day modules. The program offers experiential learning through breakouts and board simulations tailored to meet the needs of directors from corporate, Crown, co-operative and large not-for-profit organizations.

After receiving his MBA and LLB from Queen’s University, Richard C. Powers worked as a corporate lawyer for a national Canadian law firm. He later served as Corporate Counsel for Honda Canada Inc., before joining the University of Toronto. Richard served as the Associate Dean of the Rotman School of Management responsible for all full-time and part-time MBA programs as well as the Master of Finance Program.
An internationally recognized expert in both corporate and not-for-profit governance, Richard is the National Academic Director of The Directors Education Program (DEP) and the Not-For-Profit Governance Essentials Program (GEP) (in partnership with the Institute of Corporate Directors – ICD). Richard also serves as the Academic Director of the CUES Governance Programs in Canada. He also teaches in Rotman’s Executive MBA, OMNIUM, MBA and Executive Education Programs.
Richard has lead and taught in the DEP and GEP for over 14 years, and has assisted in designing and implementing the programs at 13 universities across Canada. The DEP is recognized as one of the most robust governance programs in the world. In addition to his responsibilities with the DEP, Richard has worked with numerous boards, associations and organizations in identifying, creating and developing best governance practices. He is a director and committee member of several not-for-profit organizations and frequently comments on legal and governance issues in various media across Canada.

Application fee: $600 + tax*
Program fee: $21,950 as of 2025, plus applicable taxes.
This fee includes tuition for all four modules, all reading materials, and ICD.D examination fees. The DEP is a tax-deductible expense. A T2202A form will be issued for the payment of DEP tuition fees.
* Application fee for current ICD Members is $150 + tax for individual members and $0 for members via boards.
** Non-members receive a one-year ICD membership upon application to the DEP, valued at $450.

The program is comprised of 4 modules of 3 days each, spanning 7 months. Each day is from 7:00am to 5:00pm (breakfast from 7:00am to 8:00am). The program is hosted in person in Ottawa.
